Trigger event

Would this prospective share purchase likely qualify as a trigger event ?

if the shareholding goes over 30% does attanassio have to offer to purchase all shares ?

@Soldier on No, not in itself.

As you will see from my analysis on another thread I surmise Attanasio is about to purchase a substantial shareholding from Smith & Jones which would be a trigger event. The strange figure for the share allotment suggests some very complicated share trading is going on behind the scenes. The time limit to the allotment suggests that "all ducks are in a row" to complete formalities very quickly as well, two weeks to complete a takeover is extremely short suggesting that a lot of work is going on behind the scenes. But nothing in the paperwork issued so far explicitly discusses a trigger event so I may be wrong, I'm just reading between the lines and asking why such a strange allotment figure has been arrived at. 

Once past 30% he is obliged to make an offer to purchase shares at the highest price he has paid in the past 12 months to all shareholders, but there is no obligation on a selling party to complete.  If he goes beyond holding 85%, if a minority shareholder wants to sell to him then again he is obliged to pay the same highest price. However he does not have to instigate such a purchase if he does not want to. There has been discussion on here that Americans tend to want a 100% holding, but practically to enjoy full ownership rights there is no need to, its more of a vanity thing.

We know he'd get Essex Canary's shares at least!

In 2021 a basketball player took a minority stake in the Milwauke Brewers, so this particular American doesn't seem too bothered.

He's the "principle owner" which I think is American for majority shareholder.
